Terms of Service

These Terms of Service ("Terms") are an electronic agreement under the Information Technology Act, 2000 between you ("Customer", "you") and InDhan PayGate Private Limited ("InDhan PayGate", "we") governing your use of InDhanPay Books (the "Service"). By signing up, paying, or using the Service, you accept these Terms.

1. The Service

InDhanPay Books is a SaaS platform for creating and managing GST-compliant invoices, quotes, payments, and related billing operations for Indian businesses. The Service is provided on a subscription basis with tiered plans, including a Free plan, as listed on our pricing page.

2. Account & eligibility

• You must be 18 or older and authorized to enter contracts.
• You agree to provide accurate, current, complete information at signup and keep it updated.
• You are responsible for keeping your credentials secure.
• You are solely responsible for the accuracy of GST invoices, tax computation, and filings made through the Service.

3. Subscription & billing

• Plans are charged monthly, quarterly, or yearly per your selection and renew automatically unless cancelled.
• Payment processing is handled by our RBI-authorised payment gateway partner. By subscribing you authorize us to charge your chosen payment method.
• On expiry without renewal, the account moves to a 7-day grace period during which you can still record payments and view data but cannot create new invoices, share, or download PDFs. After grace, the account is suspended until renewed.
• GST is charged on top of plan price as applicable. You will receive a tax invoice for every charge.

4. Refunds

Subscription fees are non-refundable except where required by law. If a payment is taken in error or due to a Service failure on our side, contact support@indhanpay.com within 7 days. Full details are in our Refund & Cancellation Policy.

5. Acceptable use

You may not:

• Use the Service for fraudulent, illegal, or harassing activity
• Reverse-engineer, scrape, or attempt to bypass authentication
• Resell the Service without written authorization
• Interfere with the Service's integrity or security

6. Data ownership

You retain all rights to data you create in the Service (invoices, clients, products, etc.). We process this data only to operate the Service per the Privacy Policy. On request you can export your data; on cancellation we retain a copy for the period mandated by GST law (Rule 56), then delete.

7. Service availability

We aim for 99% monthly uptime on paid plans. We do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by third parties (payment gateway, cloud hosting, email and messaging providers, etc.).

8. Intellectual property

The Service, including all software, designs, trademarks, and documentation, is owned by InDhan PayGate Private Limited. You receive a limited, non-exclusive, non-transferable licence to use the Service per these Terms.

9. Limitation of liability

To the maximum extent permitted by law, InDhan PayGate's total liability for any claim arising from your use of the Service is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate at any time. We may suspend your account immediately for breach of these Terms or non-payment. On termination, access ceases; data export is available for 30 days post-termination on request.

11. Governing law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of courts in Delhi.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
